recognizesthevalueandpotentialofthedigitaleconomytoincreasecompetitionandimproveproductivity.Towardthisend,theStateshallguaranteeeffectiveregulationofe-commercetoprotectconsumerrightsanddataprivacy,encourageinnovation,promoteComPeIitiOn,secureinternettransactions,upholdintellectualpropertyrights,ensureproductstandardsandsafetycompliance,andobserveenvironmentalsustainability.SEC.3.ScopeandCoverage.-ThisActshallapplytoallbusiness-to-businessandbusiness-to-consumerinternettransactionswithinthemandateOftheDepartmentofTradeandIndustry(DTI),whereone(l)ofthepartiesissituatedinthePhilippinesorwherethedigitalplatform,e-retailer,oronlinemerchantisavailingofthePhilippinemarketandhasminimumcontactstherein:Provided,Thatonlinemediacontent,andconsumer-to-consumer(C2C)transactionsshallnotbecoveredunderthisAct.SEC.4.DefinitionofTerms.-AsusedinthisAct:(a)Business-to-businessTransactionreferstointernettransactionsbetweenbusinesses,suchasbetweenamanufacturerandawholesaler,orawholesalerandaretailer,whetherthetransactingpartiesarenaturalorjuridicalpersons;(b)Bsiness-to-consumerTransactionreferstointernettransactionsbetweenbusinessesandend-users;(c)Cosumer-to-cosumer(C2C)Transactionsrefertotransactionsbetweenend-usersdoneforpersonal,family,orhouseholdpurposesandnotdoneintheordinarycourseofbusiness;d)DigitaIPlatformsrefertoinformationandcommunicationtechnology-enabledmechanismsthatconnectandintegrateproducersandusersinonlineenvironmentswheregoodsandservicesarerequested,developed,andsold,anddataisgeneratedandexchangedsuchas,butnotlimitedto,e-marketplace,mobiIeapplicationplatforms,onlinedeliveryplatforms,socialmediaPiatfbrmS,andtravelplatforms;(e)E-marketplacereferstodigitalplatformswhosebusinessistoconnectonlineconsumerswithonlinemerchants,facilitateandconcludethesales,processthepaymentoftheproducts,goodsorservicesthroughthePIatfbrm,orfacilitatetheshipmentofgoodsorprovidelogisticsServicesandpost-purchasesupportwithinsuchplatforms,andotherwiseretainsoversightovertheconsummationofthetransaction;(4)E-retailerreferstoanaturalorjuridicalpersonsellinggoodsorservicesdirectlytoonlineconsumersthroughitsownwebsite,webpageorapplication;()Goodsrefertophysicallyordigitallyproduceditemsoverwhichownershiporproprietaryrigtsmaybeestablishedandtransferredfromone(institutionalunittoanotherbyenteringintoatransaction;(h)IntemetTransactionreferstothesaleorleaseofdigitaiornon-digitalgoodsandservicesovertheintemet.ForpurposesofthisAct,internettransactionsshallalsorefertoe-commerce:GOnlineConsumerreferstoanaturalorjuridicalpersonwhopurchases,leases,receives,orsubscribestogoodsorservicesovertheinternetforafee;OnlineMerchantreferstoapersonsellingnon-fnancialgoodsorservicestoonlineconsumersthroughane-marketplaceorthird-partydigitalplatfon.Ane-retailershallalsobeconsideredanonlinemerchantifitoffersthesamegoodsorservicesoutsideitsownwebsitethroughathird-partydigitalplatformandtheonlineconsumerpurchases,leases,subscribesto,orobtainstheserviceofthee-retailerthroughthesaidthird-partyplatform;and(k)Producerreferstothemanufacturerorimporterofgoodsranypersonpurp,ortingtobeamanufacturerlacesitsnaine,trademart,orOtherdistinctivesignon,gowhoodsSEC.5.Extra-teitorialApplication.-Apersonwhoengagesine-commerce,whoavalsofthePhilippinemarkettotheextentofestablishingminimumcontactsherein,shallbesubjecttoapplicablePhilippinelawsandregulationsandcannotevadelegalliabilityinthePhilippinesdespitelackoflegalpresenceinthecountrySEC.6.EqualTreatmentofOnlineandOfflineCommercialActivities.-Unlessotherwisespecified,thisActshallbeconstruedtoensurethatthosewhoengageine-commerceshallnotenjoyanybeneficialtreatmentthatismorefavorable,norbeplacedatadisadvantage,inrelationtootherenterprisesthatoffergoodsandservicesofflineinthePhilippines.CHAPTERIIE-COMMERCEBUREAUSEC.7.CreationandCompositionoftheE-CommerceBureau.-Withinsix(6)monthsaftertheeffectivityofthisAct,theE-CommerceBureau,hereinafterreferredtoastheBureau,shallbecreatedundertheDTI.TheBureaushallbeheadedbyaDirectorandatleastOne(I)AssistantDirectorwhomustpossesscompetenciesine-commerceandonlinetransactions,andallthelawsandprocessesrelatedthereto.TheDTISecretaiyshalldeterminetheorganizationalstructureandstaffingpatternoftheBureau,subjecttotheapprovaloftheDepartmentofBudgetandManagementandconsistentwiththecivilservicelaws,rulesandregulations.SEC.8.FunctionsoftheE-CommerceBureau.-TheBureaushallhavethefollowingpowersandfunctions:(a)Formulatepolicies,plans,andprogramstoensuretherobustanddynamicdevelopmentofe-commerce;(b)Implement,monitor,andensurestrictcompliancewiththeprovisionsofthisAct;(c)ExerteffortstoenforcetheregistrationofdigitalplatformsandonlinemerchantswiththeBureauandtorequirethesubmissionofinformationnecessaryforpolicy-makingandprogramdevelopmentpurposes,consistent,however,withtheprinciplesofminimizationandproportionalityindataprivacy;(d)ldentifyregulatorygapsaffectingthee-commerceandrecommendappropriateexecutiveorlegislativemeasuresthatfosterthegrowthofthesector;(e)Re
