EXCLUSIVELICENSEAGREEMENTEffectiveasofdateInconsiderationofthemutualpromisesandcovenantssetforthbelow,thepartiesheretoagreeasfollows:ARTICLE IDEFINITIONSAsusedinthisAgreement,thefollowingtermsshallhavethefollowingmeanings:1.1 AFFILIATE:anycompany,corporation,orbusinessinwhichLICENSEEownsorcontrolsatleastfiftypercent(50%)ofthevotingstockorotherownership.Unlessotherwisespecified,thetermLICENSEEincludesAFFILIATES.1.2 BIOLOGICALMATERIALS:thematerialssuppliedbyXYZ(identifiedinAppendixB)togetherwithanyprogeny,mutants,orderivativesthereofsuppliedbyXYZorcreatedbyLICENSEE.1.3 FIELD:field.1.4 XYZ:PresidentandFellowsofXYZCollege,anonprofitMassachusettseducationalcorporationhavingofficesattheOfficeforTechnologyandTrademarkLicensing,HolyokeCenter,Suite727,1350MassachusettsAvenue,Cambridge,Massachusetts02138.1.5 1.ICENSEDPROCESSES:theprocessescoveredbyPATENTRIGHTSorprocessesutilizingBIOLOGICALMATERIALSorsomeportionthereof.1.6 1.ICENSEDPRODUCTS:productscoveredbyPATENTRIGHTSorproductsmadeorservicesprovidedinaccordancewithorbymeansofLICENSEDPROCESSESorproductsmadeorservicesprovidedutilizingBIOLOGICALMATERIALSorincorporatingsomeportionofBIOLOGICALMATERIALS.1.7 1.ICENSEE:company,acorporationorganizedunderthelawsofstatehavingitsprincipalofficesataddress.1.8 NETSALES:theamountbilled,invoiced,orreceived(whicheveroccursfirst)forsales,leases,orothertransfersofLICENSEDPRODUCTS,less:(a) customarytrade,quantityorcashdiscountsandnon-affiliatedbrokers'oragents'commissionsactuallyallowedandtaken;(b) amountsrepaidorcreditedbyreasonofrejectionorreturn;(c) totheextentseparatelystatedonpurchaseorders,invoices,orotherdocumentsofsale,taxesleviedonand/orothergovernmentalchargesmadeastoproduction,sale,transportation,deliveryoruseandpaidbyoronbehalfofLICENSEEorsublicensees;and(d) reasonablechargesfordeliveryortransportationprovidedbythirdparties,ifseparatelystated.NETSALESalsoincludesthefairmarketvalueofanynon-cashconsiderationreceivedbyLICENSEEorsublicenseesforthesale,lease,ortransferofLICENSEDPRODUCTS.1.9 NON-COMMERCIALRESEARCHPURPOSES:useofPATENTRIGHTSand/orBIOLOGICALMATERIALSforacademicresearchorothernot-for-profitscholarlypurposeswhichareundertakenatanon-profitorgovernmentalinstitutionthatdoesnotusethePATENTRIGHTSand/orBIOLOGICALMATERIALSintheproductionormanufactureofproductsforsaleortheperformanceofservicesforafee.1.10 NON-ROYALTYSUBLICENSEINCOME:Sublicenseissuefees,sublicensemaintenancefees,sublicensemilestonepayments,andsimilarnon-royaltypaymentsmadebysublicenseestoLICENSEEonaccountofsublicensespursuanttothisAgreement.1.11 PATENTRIGHTS:UnitedStatespatentapplicationserialnumberfiledfilingdate,theinventionsdescribedandclaimedtherein,andanydivisions,continuations,continuations-in-parttotheextenttheclaimsaredirectedtosubjectmatterspecificallydescribedinUSSNserialnumberandaredominatedbytheclaimsoftheexistingPATENTRIGHTS,patentsissuingthereonorreissuesthereofandanyandallforeignpatentsandpatentapplicationscorrespondingthereto,alltotheextentownedorcontrolledbyXYZ.1.12 TERRITORY:territory.1.13 Theterms"PublicLaw96-517"and"PublicLaw98-620includeallamendmentstothosestatutes.1.14 Theterms"sold"and"sell"include,withoutlimitation,leasesandothertransfersandsimilartransactions.ARTICLE IIREPRESENTATIONS2.1 XYZisownerbyassignmentfrominventor(s)ofhis/her/theirentireright,titleandinterestinUnitedStatesPatentApplicationserialnumberfiledfilingdateentitledinvention(XYZCasecasenumber),intheforeignpatentapplicationscorrespondingthereto,andintheinventionsdescribedandclaimedtherein.2.2 XYZhastheauthoritytoissuelicensesunderPATENTRIGHTS.2.3 XYZiscommittedtothepolicythatideasorcreativeworksproducedatXYZshouldbeusedforthegreatestpossiblepublicbenefit,andbelievesthateveryreasonableincentiveshouldbeprovidedforthepromptintroductionofsuchideasintopublicuse,allinamannerconsistentwiththepublicinterest.2.4 1.ICENSEEispreparedandintendstodiligentlydeveloptheinventionandtobringproductstomarketwhicharesubjecttothisAgreement.2.5 1.ICENSEEisdesirousofobtaininganexclusivelicenseintheTERRITORYinordertopracticetheabove-referencedinventioncoveredbyPATENTRIGHTSintheUnitedStatesandincertainforeigncountries,andtomanufacture,useandsellinthecommercialmarkettheproductsmadeinaccordancetherewith,andXYZisdesirousofgrantingsuchalicensetoLICENSEEinaccordancewiththetermsofthisAgreement.ARTICLE IIIGRANTOFRIGHTS3.1 XYZherebygrantstoLICENSEEandLICENSEEaccepts,subjecttothetermsandconditionshereofintheTERRITORYandintheFIELD:TOVIEWTHEREMAININGPAGESOFTHEDOCUMENT,PURCHASEFROMTHEDOWNLOADPAGE($60)INSERTINDUSTRYDATA&MARKETINTnELLlGENCEINTHETEMPLATESGetSmartOnAnIndustry.CutResearchTime.CLICKHEREFORDETAILS
